Scope
This Seller Agreement supplements the Zabrali Terms of Service and Privacy Policy. By completing seller onboarding, accepting payouts, or listing products, you agree to all three documents.
Listing standards
Listings must be accurate, lawful, and complete. You are responsible for:
- Product descriptions, images, pricing, and inventory
- Shipping methods, handling times, and return windows
- Digital delivery configuration and file integrity
- License key generation and support where applicable
Operating more than one store
Your seller account can run more than one store, up to the number included in your plan. The stores are separate storefronts with their own name, address, listings and reviews, but they belong to one account and one agreement. By opening an additional store you agree that:
- You are the seller for every store on your account. Orders, refunds, disputes and chargebacks from any store are your responsibility, and a balance owed from one store can be recovered from your payouts for any other.
- All stores share one payments account, one subscription and one payout schedule. Your plan's limits, commission and fees apply to the account.
- Every store must follow this agreement and the Terms of Service, including the rules on prohibited items. A store may not imitate Zabrali, another seller, or a brand you are not entitled to use, and may not be opened to avoid a decision made about another store.
- We may hold a new store for review before it is shown publicly, for example when its name needs a closer look or when you recently closed another store.
- We may suspend or close a single store, or every store on the account. If one store is suspended for a serious violation, your other stores may be placed under review and you may be unable to open new ones.
- Closing a store keeps its order and review history. Its web address is held back for a period so that nobody else can take it over.
We record the version of this agreement you accepted, and when, each time you open an additional store.
Fees & payouts
Marketplace sales on paid plans are subject to a platform commission and Stripe card processing fees as disclosed during onboarding and in Settings → Billing:
- Starter: 10% platform commission on commissionable merchandise
- Pro: 8% platform commission on commissionable merchandise
- Commission-free threshold: first CA$500.00 in lifetime gross sales for new sellers
- Stripe card processing: ~2.9% + 30¢ on card sales, deducted from payouts
Payouts are processed through Stripe Connect subject to verification, reserve policies, and applicable law.
Fulfillment obligations
You must ship physical orders promptly, deliver digital goods as described, and respond to buyer messages and refund requests in a timely manner. Repeated failures may result in account restrictions.
Tax compliance
You are responsible for determining, collecting, and remitting taxes where required. Zabrali may provide tooling or reporting assistance but does not provide tax advice.
Marketplace and invoice checkout use Stripe Tax for automated tax calculation on supported transactions. At launch, Stripe Tax is configured for Canada and the United States only. Tax is computed from the buyer's shipping or billing address at checkout. Orders outside those jurisdictions may not receive automated tax calculation — you remain responsible for compliance in those regions.
Disputes & chargebacks
You must cooperate with dispute resolution and provide evidence when requested. Excessive chargebacks or policy violations may trigger suspension or withholding of payouts.
Suspension & termination
We may remove listings, pause payouts, or terminate seller access for fraud, prohibited products, buyer harm, or repeated policy breaches. Outstanding obligations survive termination where permitted by law.
